Terms and Conditions (AGB)

1. Scope of Application

1.1 Application Scope

These Terms and Conditions apply to all contracts, deliveries, and other services provided by Skylumina GmbH.

1.2 Business Clients

Skylumina’s services are exclusively intended for business clients as defined under §14 BGB.

1.3 Agreement Basisent

The agreements between Skylumina GmbH and the customer are exclusively governed by the content of the contract, which consists of the offer made by Skylumina GmbH and the customer’s acceptance.

1.4 Exclusive Agreement

Any different terms and conditions of the customer are not valid unless Skylumina GmbH has explicitly agreed to their validity in writing.

2. Contract Formation and Payment

2.1 Contract Formation

A contract between Skylumina GmbH and the customer is formed when the customer accepts the offer made by Skylumina GmbH.

2.2 Payment Terms

The prices and payment terms agreed upon in the contract are binding. Payments must be made to the account specified by Skylumina GmbH within the agreed-upon period.

3. Services Provided

3.1 Service Description

Skylumina GmbH provides the services as described in the contract. Any additional services require a separate agreement and may result in additional costs.

3.2 Customer Obligations

The customer is obligated to provide all necessary information and cooperation required for the fulfillment of the contract. Failure to do so may result in delays or additional costs.

3.3 Exclusion

Services not explicitly stated in the contract are not included.

4. Prices, Fees, and Payment Terms

4.1 Pricing

All prices are quoted in the contract and are exclusive of applicable taxes unless otherwise stated.

5. Contract Duration and Termination

5.1 Contract Duration

The contract duration is specified in the contract. Unless otherwise agreed, the contract is for a fixed term.

5.2 Termination

Either party may terminate the contract with written notice, subject to the terms stated in the contract.

6. Performance and Delays

6.1 Contractual Obligation

Skylumina GmbH will perform its contractual obligations within the agreed-upon time frame. Delays may occur due to unforeseen circumstances beyond the control of Skylumina GmbH.

7. Intellectual Property and Product Ownership

7.1 Intellectual Property

Skylumina GmbH retains all intellectual property rights in the products and services provided. The customer is granted a non-exclusive, non-transferable license to use the products and services for the duration of the contract.

7.2 Transfer of Ownership

Ownership of the products transfers to the customer upon full payment of the agreed-upon price.

8. Limited Liability

8.1 Liability

Skylumina GmbH’s liability is limited to the extent permitted by law. In no event shall Skylumina GmbH be liable for indirect, incidental, or consequential damages.

9. Final Provisions

9.1 Governing Law

These terms are governed by the laws of the Federal Republic of Germany, with Cologne as the exclusive place of jurisdiction.

9.2 Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
