Terms and Conditions (AGB)

1. Scope of Application

1.1 Application Scope

These Terms and Conditions apply to all contracts, deliveries, and other services provided by Skylumina GmbH.

1.2 Business Clients

Skylumina’s services are exclusively intended for business clients as defined under §14 BGB.

1.3 Agreement Basisent

The agreements between Skylumina GmbH and the customer are exclusively governed by the content of the contract, which consists of the offer made by Skylumina GmbH and the customer’s acceptance.

1.4 Exclusive Agreement

Any different terms and conditions of the customer are not valid unless Skylumina GmbH has explicitly agreed to their validity in writing.

2. Contract Formation and Payment

2.1 Contract Formation

A legally binding contract is formed when the customer accepts an offer provided by Skylumina GmbH, and the contract is signed by both parties.

2.2 Payment Terms

Payments are due as specified in the service agreement. Invoices will be issued upon contract formation, and payment is required within the specified period.

2.3 Non-Refundable Payments

Due to the customized nature of our products, payments are non-refundable.

3. Service Overview

3.1 Service Overview

Skylumina GmbH provides custom LED lighting products tailored to the specific needs of retail clients. Our services include the manufacture and supply of LED lighting products that meet EU standards and directives. We do not provide installation or lighting design services.

3.2 No Guaranteed Outcomes

While we are committed to delivering high-quality products, specific outcomes (e.g., increased sales) are not guaranteed.

3.3 Customer Obligations

The customer must ensure that the products are installed by qualified electricians in compliance with applicable safety standards.

3.4 Exclusivity

Skylumina GmbH offers limited partnerships and reserves the right to choose with whom we work. Acceptance into our partnership program is at the sole discretion of Skylumina GmbH.

4. Prices, Fees, and Payment Terms

4.1 Pricing

All prices are net amounts, exclusive of VAT.

4.2 Payment Terms

Payment is required as specified in the contract, with due dates outlined in the invoice.

5. Contract Duration and Termination

5.1 Contract Term

The contract term is defined by the period required to manufacture, deliver, and install the products as agreed upon in the service contract.

5.2 Termination

Early termination is not permitted except for significant reasons as defined by law.

5.3 No Refunds

Due to the customized nature of our products, refunds are not provided.

6. Performance and Delays

6.1 Performance Timelines

Manufacturing and delivery timelines commence only after full payment is received and all necessary customer inputs are provided.

6.2 Customer Default

In the event of non-payment or failure to provide necessary information, Skylumina GmbH reserves the right to suspend the manufacturing process and retrieve any delivered products that have not been paid for in full.

7. Intellectual Property and Product Ownership

7.1 Manufacturer Rights

Skylumina GmbH is the manufacturer of the GlowPro LED lighting series. All rights related to the GlowPro products are owned by Skylumina GmbH.

7.2 Ownership Transfer

Upon full payment, ownership of the products is transferred to the customer.

7.3 Installation

The customer is responsible for ensuring that the products are installed by qualified electricians. Skylumina GmbH does not assume liability for installation or improper use of the products.

7.4 Warranty

Skylumina GmbH provides a 5-year warranty on all LED lighting products, covering manufacturing defects. This warranty does not cover damages resulting from improper installation or misuse.

8. Limited Liability

8.1 Liability

Skylumina GmbH is only liable for damages resulting from intentional or grossly negligent actions. Liability for slight negligence is excluded.

9. Final Provisions

9.1 Governing Law

These terms are governed by the laws of the Federal Republic of Germany, with Cologne as the exclusive place of jurisdiction.

9.2 Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
